These Terms and Conditions govern the purchase of products through the online shop of Optiseeds, a brand of GLOBAL WEB MARKET SL, with tax ID (NIF) B54742531 and registered address at Calle Cardenal Benlloch, 11 bajo, 46920 Mislata (Valencia), España (hereinafter “Optiseeds”). By placing an order, the Customer accepts these terms.
1. Definitions
- Customer: a business or professional (including sole traders) with legal capacity to contract in Spain or the EU, with an approved wholesale account.
- Product(s): the seeds and other items offered in the online shop.
- Order: the purchase request the Customer places through the shop.
- Proforma: the document Optiseeds sends the Customer with the final amount of the Order.
2. Sales to professionals only
The shop is aimed exclusively at businesses and professionals. We do not sell to consumers or private individuals. An approved wholesale account is required to see prices and buy. Optiseeds reserves the right to approve, reject or cancel accounts that cannot prove their professional status.
3. Purchase process
- The Customer places the Order in the online shop.
- Optiseeds reviews the Order and sends a proforma invoice with the final amount: products, shipping costs and any taxes applicable according to the Customer's country and tax status.
- The Customer pays the proforma by bank transfer.
- Once payment is received, the Order is deemed confirmed and is prepared for shipping.
Submitting the Order through the shop does not constitute its acceptance. The contract is concluded when Optiseeds receives payment of the proforma.
4. Prices and taxes
Prices are shown in euros (€) and excluding VAT. VAT or, where applicable, the intra-Community exemption is applied on the proforma in accordance with current regulations and the Customer's tax details. A valid VAT number in the VIES system is required to apply the intra-Community exemption. The applicable price is the one in force in the shop at the time of the Order, barring obvious error.
5. Payment
Payment is made by bank transfer to the account shown on the proforma. If payment is not received within 7 calendar days, Optiseeds may cancel the Order. Ownership of the Products does not pass to the Customer until payment is made in full.
6. Shipping and delivery
Products are shipped to the business address given by the Customer. The base rate for the standard service (UPS Standard) to EU countries is €12 per order; the final cost is confirmed on the proforma. Delivery times are approximate (usually 1 to 5 working days within the EU from dispatch) and may be affected by causes beyond Optiseeds' control. Risk passes to the Customer on delivery. 7. Availability
Some varieties are produced in batches or to order. If a Product is not available, Optiseeds will indicate this on the proforma and propose an alternative or an adjustment to the Order.
8. Claims and conformity
The Customer must check the condition of the shipment on delivery and report any transport incident, defect or discrepancy in writing to [email protected] within 7 calendar days of receipt, attaching photographs if possible. As this is a business-to-business sale, the consumer right of withdrawal does not apply. Returns will only be accepted with Optiseeds' prior authorisation.
9. Limitation of liability
Except in cases of wilful misconduct or gross negligence, Optiseeds' liability to the Customer is limited to the amount of the Order giving rise to the claim. Optiseeds is not liable for the use the Customer or third parties make of the Products.
10. Cannabis seed regulations
The cannabis seeds sold by Optiseeds are intended for collection, genetic preservation and other lawful uses in accordance with Spanish and European regulations. Optiseeds does not promote or facilitate their germination or cultivation, which may be subject to legal restrictions in the destination country.
It is the Customer's responsibility to ensure that the purchase, resale and use of the seeds comply with the applicable legislation in their country, and to inform their own customers accordingly.
11. Intellectual property
The texts, images, logos, trademarks and other content of the shop belong to Optiseeds or their respective owners. They may not be reproduced without authorisation, except for the use of product images to resell Products purchased from Optiseeds, subject to prior consultation.
12. Data protection
The processing of the Customer's personal data is governed by the Optiseeds Privacy Policy, which forms part of these Terms and Conditions.
13. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute, the parties submit to the Courts and Tribunals of Valencia (Spain), unless the law provides for another jurisdiction.
